Agreement to These Terms

These Terms of Use ("Terms") are an agreement between you and Mobile QR Media, LLC ("Mobile QR Media," "we," "us," or "our"). They cover your use of GoMobileRealtor.com (the "Site"), the mobile sites we host for our members ("QSites"), GoMobileRealtor rider signs, and every other product and service we provide (together, the "Services"). By using the Services or creating an account, you agree to these Terms. If you do not agree, please do not use the Services.

Our Privacy Policy explains how we collect and use your information and is part of these Terms.

Who May Use the Services

The Services are designed for real estate professionals. You must be at least 18 years old and able to enter into a binding contract to create an account. If you use the Services on behalf of a brokerage or other company, you confirm that you have the authority to accept these Terms for it, and "you" includes that company.

The Services

A GoMobileRealtor membership lets you create QSites: mobile sites branded with your photo, company logo, contact information, social media links, listing details, and video. Each GoMobileRealtor rider sign carries a QR code that opens one of your QSites when someone scans it with a phone.

We are always working to improve the Services, so we may add, change, or remove features from time to time. If we make a change that significantly reduces what your membership includes, we will tell you in advance.

Your Account

• Give us accurate information when you register, and keep it up to date.
• Keep your password private. You are responsible for everything that happens under your account, so please let us know right away if you think someone else has used it.
• An individual membership is a private license for one person. It may not be shared, and your account may not be transferred to someone else without our permission. For group licenses of ten or more, or for a site branded to your company, please contact us.

Fees, Billing, and Automatic Renewal

• Registration fee: a one-time fee of $189, charged when you register. It includes 3 GoMobileRealtor rider signs with shipping included. We donate $5 from each registration fee to the Breast Cancer Research Foundation.
• Monthly membership: $79 per month. Your first monthly charge is made 30 days after you register, and your membership then renews automatically every month, charging the payment method on file, until you cancel.
• Rejoining: If your membership ends and you rejoin later, you do not pay the registration fee again. Your monthly membership starts, and is first charged, on the day you rejoin, at the monthly price in effect then.
• Additional signs: $15 each. Signs usually ship within 5-7 business days.
• Payments: Payments are processed by Stripe. By providing a payment method, you authorize us to charge it for the fees described above. Please keep your payment information current. If a monthly payment fails, we will try again over the following weeks and let you know so you can update your card. If it still cannot be collected, your membership ends and your QSites are turned off; you can rejoin at any time.
• Price changes: We may change our prices. The prices on our site apply to new purchases. We will email you at least 30 days before a new price applies to your current membership, and you may cancel before it takes effect.
• Taxes: Prices do not include taxes. You are responsible for any sales or similar taxes that apply to your purchases.

Cancellation and Refunds

You may cancel your membership at any time on the Billing page of your dashboard, or contact us and include the email address on your account. Your cancellation takes effect at the end of the month you have already paid for; you will not be charged again, and your QSites will stay active until then. If you cancel within 30 days of registering, before your first monthly charge, you will not be charged the monthly fee.

Except where the law requires otherwise, fees are non-refundable, and we do not give refunds or credits for partial months or unused features.

When your membership ends, your QSites are turned off and the QR codes on your signs will no longer show your information. We may delete your account content after your membership ends, so please save anything you want to keep before you cancel.

GoMobileRealtor Signs

The signs we ship to you are yours to keep. The QR code on each sign opens your QSite only while your membership is active. Delivery times are estimates. If a sign arrives damaged or defective, please contact us within 14 days of delivery and we will replace it.

You are responsible for placing your signs lawfully, including following local sign ordinances, homeowners association and MLS rules, and getting the property owner's permission.

Your Content

"Your Content" means everything you add to the Services, such as photos, logos, videos, listing descriptions, links, and sponsor information. You keep ownership of Your Content. You give us a non-exclusive, royalty-free, worldwide license to host, store, copy, resize, format, and display Your Content as needed to provide the Services, including showing it publicly on your QSites. You also let us use your name, photo, and QSite content in the social media announcements our team makes about you. This license ends when you delete Your Content or your account, except for copies in backups kept for a limited time and posts already published.

You confirm that:

• You own Your Content or have permission to use it, including photos of properties and people, logos, and any music or footage in your videos.
• Your Content is accurate and not misleading, and you will update or remove it when it is no longer accurate.
• Your Content does not violate any law or anyone else's rights, including privacy and publicity rights.

We may remove any content that we believe violates these Terms or the law.

Real Estate Advertising Rules

You are solely responsible for making sure your QSites, listings, and signs follow every law and rule that applies to your real estate advertising, including the federal Fair Housing Act and state and local fair housing laws, your state's real estate license law and advertising rules (such as displaying your brokerage's name where required), MLS and REALTOR® association rules, and your brokerage's policies. You must have the seller's or owner's permission to market a property, and you should update or remove a listing when it is sold or withdrawn.

Mobile QR Media is not a real estate broker and does not take part in any real estate transaction. We do not review listings for accuracy or legal compliance.

Sponsors and Third-Party Content

You may display sponsors, such as a mortgage lender, on your QSites. Your arrangements with sponsors are between you and them, and you are responsible for making them comply with the law, including the Real Estate Settlement Procedures Act (RESPA) and any required disclosures.

The Services may link to or embed content from other companies, such as video sites and social networks. That content is governed by those companies' own terms and policies, and we are not responsible for it.

Acceptable Use

When using the Services, you agree not to:

• Break any law, or help anyone else do so.
• Post content that is false, misleading, discriminatory, defamatory, obscene, hateful, or harassing.
• Infringe anyone's copyright, trademark, privacy, or other rights.
• Pretend to be someone else, or misrepresent your license status or your connection to a brokerage.
• Upload viruses or other harmful code, or send spam.
• Try to get around our security, access another member's account, or collect information from the Services by automated means such as bots or scrapers.
• Copy, resell, or reverse engineer the Services, or share your account with people outside your license.
• Use the Services in any way that could damage, overload, or interfere with them or with other members.

Our Intellectual Property

The Site, the software behind the Services, and our designs, text, graphics, and logos, including the GoMobileRealtor and QSite® names, belong to Mobile QR Media or its licensors and are protected by law. While your membership is active, we give you a limited, non-exclusive, non-transferable right to use the Services for your own real estate marketing under these Terms. You receive no other rights. If you send us ideas or suggestions, we may use them without any obligation to you.

Copyright Complaints

If you believe content on the Services infringes your copyright, please contact us with a description of the work, the web address where the content appears, your contact information, a statement that you believe in good faith that the use is not authorized, and a statement that the information in your notice is accurate and that you are the copyright owner or authorized to act for the owner. We will review the notice, may remove the content, and may close the accounts of members who repeatedly infringe.

Suspension and Termination

We may suspend or end your access to the Services, with or without notice, if you violate these Terms, do not pay the fees you owe, or use the Services in a way that could harm us, other members, or the public. You may stop using the Services and cancel your membership at any time as described above. The sections of these Terms that by their nature should survive after your membership ends, including those about fees owed, Your Content, disclaimers, limits on liability, and disputes, will continue to apply.

Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE FULLEST EXTENT ALLOWED BY LAW, MOBILE QR MEDIA DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not promise that the Services will always be available or error-free, that every phone or QR code reader will work with your signs, or that the Services will produce any particular number of leads, showings, or sales.

Limitation of Liability

TO THE FULLEST EXTENT ALLOWED BY LAW, MOBILE QR MEDIA WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOST PROFITS, COMMISSIONS, BUSINESS OPPORTUNITIES, OR DATA, ARISING FROM YOUR USE OF THE SERVICES. OUR TOTAL LIABILITY FOR ANY CLAIM RELATED TO THE SERVICES WILL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM AROSE. Some states do not allow these limits, so they apply to you only as far as your state allows.

Indemnification

You agree to defend and hold harmless Mobile QR Media and its owners, employees, and service providers from any claims, losses, and expenses, including reasonable attorneys' fees, that arise from Your Content, your listings, where you place your signs, your arrangements with sponsors, or your violation of these Terms or the law.

Changes to These Terms

We may update these Terms from time to time. When we do, we will post the new version on this page and change the "Last updated" date above. If a change is significant, we will also tell you by email or through the Site before it takes effect. By continuing to use the Services after the new Terms take effect, you agree to them.

Governing Law and Disputes

These Terms are governed by the laws of the state in which Mobile QR Media, LLC is organized, without regard to its conflict-of-laws rules. If you have a concern, please contact us first; most problems can be solved quickly that way, and we ask that you give us 30 days to try before starting any legal action. Any lawsuit about these Terms or the Services must be brought in the state or federal courts located in that state, and you and we both agree to those courts' jurisdiction. Either of us may still bring an eligible claim in small claims court.

Electronic Communications

By creating an account, you agree that we may send you notices and other communications electronically, by email or through the Site, and that these electronic communications meet any legal requirement that such communications be in writing.

General Terms

These Terms and our Privacy Policy are the entire agreement between you and us about the Services. If any part of these Terms is found to be unenforceable, the rest will remain in effect. If we do not enforce a part of these Terms, that does not waive our right to enforce it later. You may not transfer your rights under these Terms without our written permission; we may transfer ours as part of a merger, acquisition, or sale of assets. Nothing in these Terms creates a partnership, employment, or agency relationship between you and us. We are not responsible for delays or failures caused by events beyond our reasonable control.
